1. Agreement to these Terms
These Terms of Service and End-User License Agreement (the "Terms") are a binding agreement between you and VECTRA INTERACTIVE LLC, a Limited Liability Company registered in the State of Wyoming, United States ("Vectra", "we", "us"). They apply to all Android mobile applications published by VECTRA INTERACTIVE LLC, with their updates (the "Apps"), and to our website at vectrainteractive.com (the "Website"), together the "Services".
By installing, opening or using the Services, you agree to these Terms. If you do not agree, do not use the Services and uninstall any App. If you use the Services for an organization, you confirm that you have authority to bind it, and "you" includes that organization.
Sections 6 to 8 apply only to Apps that offer those kinds of features.
2. Eligibility
You must be at least 13 years old to use the Services, or older if your country sets a higher minimum age for digital services (up to 16 in parts of the European Economic Area). If you are under the age of majority where you live, a parent or legal guardian must review and agree to these Terms for you. You may not use the Services if the law prohibits you from doing so.
3. License grant
The Apps are licensed, not sold. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable and revocable license to download, install and use each App on Android devices that you own or control, for your own lawful use and as permitted by the usage rules of Google Play. All rights not expressly granted are reserved by Vectra.
4. License restrictions
Except where the law gives you a right that cannot be waived, you must not:
- copy, modify, translate or create derivative works of the Apps;
- reverse engineer, decompile or disassemble the Apps, or try to extract their source code, models or assets;
- sell, rent, lease, sublicense, distribute or publicly host the Apps;
- remove proprietary notices, or bypass technical limits, security features or advertising in the Apps;
- extract data from the Services by automated means, or disrupt or overload them;
- use the Services or their outputs to build a competing product or to train a machine learning model.
5. Google Play
If you get an App from Google Play, the Google Play Terms of Service also apply to your use of Google Play. These Terms are between you and Vectra only, not Google. Google is not responsible for the Apps or their support, and Google has no obligation to provide maintenance for them. If these Terms conflict with Google Play's mandatory terms for app users, Google Play's terms prevail to the extent of the conflict.
6. Mobile utilities
Our system tools and everyday utilities are provided for convenience. Calculations, conversions, measurements, system information and similar results may be incomplete or inaccurate, so please check anything important before relying on it. How a utility performs depends on your device, your Android version and your manufacturer's software. Offline features work only with data already on your device, and you are responsible for keeping your own copies of anything important.
7. Workspace and privacy tools
Some Apps use Android Profile Owner or Device Policy capabilities to create and manage an isolated work profile on your device. By accepting the disclosure shown in such an App, you authorize this.
- Your data stays with you. Workspace data stays on your device and we hold no copy. We cannot recover your data, PIN, passcode or recovery answer for you.
- Removal is permanent. Removing a work profile, which you can do at any time in Android Settings, permanently deletes the apps and data inside it. You are responsible for keeping your own copies of anything important.
- Limits of the protection. Privacy and security tools reduce risk but do not guarantee protection against every threat, such as malware, an unlocked or compromised device, or forensic tools. Descriptions of privacy or isolation refer to how a feature behaves within the App. Android, your device manufacturer and other apps may keep their own records, which we do not control.
- Android and your device. Work profile behavior depends on your Android version and device manufacturer, and they may change it in ways that affect the App.
- Other apps. Apps you add to a work profile are provided by their own developers under their own terms and privacy policies.
You must not use these tools on a device that you do not own or are not authorized to manage, to get around management policies set by an employer or school or parental controls that lawfully apply to you, or to conceal unlawful activity or material.
8. AI and AR visual features
Camera effects, AR tracking, neural image transformation and similar features generate or alter images automatically for creative and entertainment purposes. Results may be inaccurate, unexpected or unsuitable, and they do not depict real events. You are responsible for how you use and share them.
You must:
- use only images that you have the right to use, and have the consent of any identifiable person in them;
- make it clear that an image is altered or AI-generated wherever it could otherwise mislead someone, or wherever the law requires it;
- stop sharing an image if the person in it asks you to.
You must not use these features to create or share:
- sexual or nude imagery of any real person, or any sexual or exploitative imagery involving a minor;
- content that harasses, bullies, defames, threatens, humiliates or endangers anyone;
- impersonation, fraud, scams, false evidence, or deceptive depictions of public figures or real events.
Do not use these features to frighten, trick or embarrass someone in a way that could cause them harm or distress.
9. Your content
You keep all rights to the photos and other content you use with the Services and, as between you and Vectra, to the results they produce, to the extent the law allows such rights. You give us only the limited permission needed to process your content in order to provide the feature you asked for. We do not use your photos to train AI models. Our Privacy Policy explains how photos and camera data are handled. Because similar inputs can produce similar results, other users may receive results that resemble yours.
10. Acceptable use
You must not use the Services to break any law, to infringe anyone's intellectual property, privacy or publicity rights, to spy on or track another person, to spread malware, to interfere with the security of the Services or of any device or network, or to falsely generate ad impressions or taps. We may investigate suspected violations and cooperate with authorities where the law requires it.
11. Ads and third-party services
Some Apps are free because they show ads provided by third parties such as Google AdMob, Meta Audience Network and TikTok. Some Apps also rely on third-party services such as Google Play Services and Firebase, and include open-source components under their own licenses. The Privacy Policy describes these services.
We do not control or endorse third-party ads, products, services or websites and are not responsible for them. Your dealings with those parties are between you and them.
12. Purchases
If an App offers paid features or subscriptions, Google Play handles the payment, and its terms and refund policies apply. Prices and features are shown before you buy. Subscriptions renew automatically until you cancel them in your Google Play account, and you should cancel at least 24 hours before the renewal date to avoid the next charge. Uninstalling an App does not cancel a subscription. This Section does not limit any refund right you have under mandatory consumer law.
13. Privacy and data deletion
Our Privacy Policy explains how we handle information, including advertising IDs (GAID), Android permissions and third-party SDKs. To request deletion of data we hold, follow the steps in its data deletion section or email brahim@vectrainteractive.com.
14. Updates and availability
We may update, change or discontinue any App or feature, and some updates may be needed to keep using an App. These Terms apply to all updates. Apps may not work on every device or Android version, and we do not promise that they will be available in every country or at all times. We do not have to provide support or maintenance, although we will try to answer questions sent to brahim@vectrainteractive.com. Beta or preview features are provided as they are and may be unstable.
15. Intellectual property
The Services and their software, models, designs, text, graphics and trademarks, including the name VECTRA INTERACTIVE and the names of the Apps, belong to Vectra or its licensors and are protected by law. Nothing in these Terms transfers those rights to you. If you send us feedback, you allow us to use it freely, with no obligation to you.
Copyright complaints. If you believe something in the Services infringes your copyright, email brahim@vectrainteractive.com with the subject "Copyright Notice" and include the information listed in 17 U.S.C. § 512(c)(3).
16. Disclaimer of warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY. VECTRA DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING THOSE OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. VECTRA DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE, THAT DATA WILL NOT BE LOST, OR THAT AI OR AR OUTPUTS WILL BE ACCURATE OR SUITABLE.
17. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, VECTRA AND ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, REVENUE, GOODWILL OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF THOSE DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY LAW, VECTRA'S TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID VECTRA FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND (B) US$50.
These limits apply whatever the legal theory of the claim and even if a remedy fails of its essential purpose. They do not limit liability that the law does not allow to be limited, such as liability for fraud or, in some places, for death or personal injury caused by negligence.
18. Indemnification
To the extent the law allows, you will defend, indemnify and hold harmless Vectra and its members, managers, employees and contractors against third-party claims, losses and reasonable costs, including attorneys' fees, that arise from your content, your misuse of the Services, or your violation of these Terms or of another person's rights.
19. Termination
You may stop using the Services at any time by uninstalling the Apps; for an App that created a work profile, first remove the work profile in Android Settings. We may suspend or end your license if you materially breach these Terms or where the law requires it. When your license ends, you must stop using the Apps and delete them. Sections 4, 9 and 15 to 23 continue to apply after termination, as does any other provision that by its nature should.
20. Governing law and disputes
Governing law. These Terms and any dispute arising from them or the Services are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Informal resolution first. Before filing a claim, please email brahim@vectrainteractive.com with a description of the dispute and what you are asking for. Both sides will try in good faith to resolve it within 30 days.
Courts. Subject to Section 22, any dispute that is not resolved informally must be brought only in the state courts located in Natrona County, Wyoming, or the United States District Court for the District of Wyoming, and both you and Vectra consent to the personal jurisdiction of those courts. Either party may bring an eligible individual claim in small claims court, or seek urgent injunctive relief in any court with jurisdiction to protect intellectual property or confidential information.
Individual claims. To the fullest extent permitted by law, claims must be brought individually and not as part of a class or representative action.
21. Export and U.S. Government
You must comply with U.S. and other applicable export control and sanctions laws. You confirm that you are not located in a country subject to a U.S. embargo and are not on a U.S. government list of prohibited or restricted parties.
If you are a U.S. Government end user, the Apps are "Commercial Computer Software" licensed only with the rights granted to other end users under these Terms.
22. Regional notices
European Economic Area, United Kingdom and Switzerland. If you are a consumer there, you keep the protection of the mandatory consumer laws of your country of residence, and you may bring proceedings in the courts of that country. Nothing in these Terms limits those rights, including statutory rights relating to the conformity of digital content.
California. Under California Civil Code § 1789.3, California users may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.
Other places. Some jurisdictions do not allow certain warranty exclusions or liability limits, so parts of Sections 16 and 17 may not apply to you. These Terms do not affect rights that the law in your country does not allow to be waived.
23. General terms
- Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and Vectra about the Services.
- Severability. If a provision is held unenforceable, it will be enforced to the extent possible and the rest of these Terms stay in effect.
- No waiver. Not enforcing a provision does not waive our right to enforce it later.
- Assignment. You may not transfer these Terms without our written consent. We may transfer them in connection with a merger, acquisition or sale of assets.
- Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control.
- Notices. We may give notice in an App or on the Website. You may send legal notices to the postal or email address in Section 25.
24. Changes to these Terms
We may update these Terms. We will revise the date at the top of this page and, for material changes, give reasonable notice in the App or on the Website before they take effect. If you continue to use the Services after that, the updated Terms apply. If you do not agree, stop using the Services and uninstall the Apps.
